Online Terms of Service
These Online Terms of Service (“Terms”) govern business users’ access to easyworkops.com, EasyWork Ops client portals, online account features, downloadable resources, and other online interfaces that link to these Terms (“Online Services”). They do not replace a signed Master Services Agreement, Service Schedule, SOW, DPA, DSA, or SLA.Plain-English SummaryThese Terms govern the website, portal, and online account—not the detailed scope of managed services.A signed MSA and related signed documents control over these Terms for professional services.
Online Services are offered only for business use by adults authorized to act for their organizations.
Do not misuse accounts, credentials, security tools, automations, AI features, or third-party integrations.
Pricing, service capacity, deliverable ownership, and additional-work rates belong in signed Service Schedules or SOWs.This summary is for convenience.The numbered provisions control.1. Scope and Contract Hierarchy1.1 Online Services
These Terms govern access to and use of the Online Services. Professional managed operations, systems administration, automation work, consulting, project work, and data processing are governed by the applicable signed contract documents.
1.2 Signed Agreements Control
If you or your organization has entered into a signed Master Services Agreement, Service Schedule, Order Form, SOW, Change Order, DPA, DSA, or SLA with EasyWork Ops, those signed documents control over these Terms for the professional services they cover. These Terms continue to govern website, portal, and public-resource use unless a signed document expressly states otherwise.
1.3 Incorporated Policies
The Acceptable Use Policy and Privacy Notice are incorporated into these Terms. If a DPA or DSA applies, it controls within its subject matter.
1.4 Business Use Only
The Online Services are intended solely for business and commercial use. They are not offered for personal, family, or household purposes.2. Eligibility, Authority, and AccountsYou must be at least eighteen years old and have authority to bind the organization you identify. You must provide accurate account and business information, keep it current, protect credentials, restrict access to authorized personnel, and promptly notify EasyWork Ops at [email protected] of suspected unauthorized access or credential compromise.
You are responsible for actions taken through your account unless caused by EasyWork Ops’ breach of an applicable signed agreement. EasyWork Ops may require identity, domain, payment-method, or authority verification before enabling account features.3. Electronic Contracting and CommunicationsBy checking an acceptance box, clicking an acceptance button, creating or using an account after receiving notice of these Terms, or otherwise electronically agreeing where presented, you consent to electronic records and signatures. EasyWork Ops may provide operational notices electronically. Formal notices under a signed MSA must follow that MSA.
EasyWork Ops may retain the accepted version, acceptance text, user and organization identifiers, timestamp, transaction or order identifier, and related technical records to document assent.4. Acceptable UseYou must comply with the AUP and may not use the Online Services to violate law or third-party rights; gain unauthorized access; distribute malware; evade security controls; expose credentials; send unlawful spam; interfere with systems; misrepresent identity or authority; process prohibited data without approval; resell or sublicense Online Services without permission; or use AI or automation features for unlawful, deceptive, or unreviewed high-impact decisions.5. Portal and Online FeaturesOnline features may include request submission, documentation, dashboards, downloads, account administration, communications, AI-assisted tools, and links to third-party services. Features may change, be suspended, or be discontinued. Unless an executed SLA states otherwise, EasyWork Ops does not guarantee Online Service uptime, uninterrupted availability, response time, data retention, or restoration.
Operational requests submitted through a portal are governed by the applicable signed Service Schedule or SOW, including whether the work is in scope, consumes capacity, or requires approval and additional fees.6. Fees and PurchasesAny online purchase screen will display the applicable price, billing cadence, renewal term, and cancellation method before payment. Professional-service fees, included capacity, additional-work rates, rush terms, refunds, renewal, and suspension are governed by the applicable signed Service Schedule, Order Form, or SOW. These Terms do not create a separate $250 hourly rate, mandatory rush surcharge, or service tier.
EasyWork Ops may validate a payment method or reject suspected fraud, but will not impose permanent IP-based exclusion merely because a payment method has a low or zero balance. Payment-related suspension of professional services is governed by the MSA and applicable Service Schedule.7. Client Content and FeedbackYou retain ownership of content and data you submit through the Online Services (“User Content”). You grant EasyWork Ops a limited license to host, transmit, reproduce, and use User Content only as reasonably necessary to operate the Online Services, provide contracted services, comply with law, and protect systems and rights.
You represent that you have the rights and permissions necessary to submit User Content. You may provide feedback, and EasyWork Ops may use nonconfidential feedback without restriction or payment, provided it does not identify your organization or disclose Confidential Information.8. EasyWork Ops Intellectual PropertyThe Online Services, website content, branding, interface, documentation made publicly available, and underlying software and materials are owned by EasyWork Ops or its licensors. Subject to these Terms, EasyWork Ops grants you a limited, revocable, nonexclusive, nontransferable right to use the Online Services for your organization’s internal business purposes.
Professional-service deliverables, Background IP, Client-Owned Deliverables, Licensed Deliverables, Subscription-Dependent Components, and System Blueprint Buyouts are governed by the signed MSA and applicable Service Schedule or SOW—not by this Section.9. Third-Party ServicesThe Online Services may link to or integrate with third-party products. Third-party products are governed by their own terms, privacy practices, licenses, availability, and fees. EasyWork Ops does not control or warrant third-party products. Your organization is responsible for directly accepting third-party terms when required and maintaining appropriate licenses.10. AI-Assisted FeaturesAI-assisted features may produce inaccurate, incomplete, biased, or fabricated output. You must apply appropriate human review before relying on material output. Applicable transparency, disclosure, provenance, and recordkeeping duties depend on the actual use case, location, and each party’s legal role. These Terms do not promise that every AI output contains a watermark or that every use requires one.11. Privacy and SecurityEasyWork Ops’ handling of website visitor, account, and contact information is described in the Privacy Notice. Personal data processed for contracted services is governed by an applicable DPA. Security controls and incident responsibilities are governed by an applicable DSA. No statement in these Terms promises universal password non-recoverability, universal data residency, or a specific security certification.12. Suspension and Termination of Online AccessEasyWork Ops may suspend or terminate Online Service access for material breach, unlawful use, security risk, suspected unauthorized activity, provider requirements, or nonpayment under an applicable signed agreement. When reasonably practicable, EasyWork Ops will provide a reason and an opportunity to cure or appeal, unless notice would create risk or is prohibited.
Termination of portal access does not change ownership or access rights to Client-owned systems under a signed MSA. Export, deletion, and offboarding for contracted services follow the MSA, DPA, and DSA, including any 30-day export and 90-day active-system deletion framework.13. DisclaimersTO THE MAXIMUM EXTENT PERMITTED BY LAW, THE ONLINE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” EASYWORK OPS DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NONINFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION. Nothing here limits an express warranty in a signed MSA or SOW.14. Limitation of LiabilityIf a signed MSA applies, its limitation-of-liability provisions control. For claims arising solely from free or public Online Services and not governed by a signed MSA, EasyWork Ops will not be liable for indirect, incidental, special, punitive, exemplary, or consequential damages, and its aggregate liability will not exceed the greater of $100 or amounts paid specifically for the affected Online Service during the six months preceding the event. This limitation does not apply where prohibited by law.15. IndemnificationYou will defend, indemnify, and hold harmless EasyWork Ops and its personnel from third-party claims arising from your User Content, unlawful or unauthorized use, breach of these Terms or the AUP, or infringement of third-party rights, subject to prompt notice, control of defense, and reasonable cooperation. If a signed MSA applies, its indemnification provisions control for professional services.16. Disputes and Governing LawIf a signed MSA applies, its dispute provision controls. Otherwise, disputes will be governed by Wyoming law and resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, seated in Sheridan County, Wyoming. Either party may seek temporary injunctive relief in Wyoming courts and enforce an award in any court with jurisdiction. Claims will be individual to the maximum extent permitted by law.17. Changes to These TermsEasyWork Ops may update these Terms prospectively. Material changes will be identified by a new version and effective date and, when reasonably practicable, notice through the Online Services or account email. Changes do not retroactively alter a signed MSA or accrued rights unless the parties sign an amendment.18. GeneralIf a provision is unenforceable, it will be modified to the minimum extent necessary and the remainder continues. Failure to enforce is not a waiver. You may not assign these Terms without consent, except with a permitted transfer of your business and subject to any signed MSA. 1. Scope and Our Role
EasyWork Ops LLC ("EasyWork Ops," "Company," "we," "us," or "our") provides remote managed operations, information-technology security, workflow automation, systems integration, and artificial-intelligence implementation services (collectively, the "Services"). This Privacy Notice applies when you visit easyworkops.com (the "Website"), request information, schedule a consultation through the Website, an EasyWork Ops portal, and/or an authorized third-party scheduling service, create or use a portal account, review or electronically sign records, communicate with us, purchase Services, or otherwise interact with us in a context in which we decide why and how personal data is processed.
Controller / Business. We act as a controller or business when we process personal data about Website visitors, prospects, client contacts, vendors, and other persons for our own business purposes.
Processor / Service Provider. We act as a processor, service provider, contractor, or subprocessor when we access or process personal data on behalf of a business client to provide the Services. In that role, the client determines the purposes and essential means of processing, and we process the data only as permitted by the applicable agreement, documented instructions, and law.
Business-to-Business Context. The Website and Services are primarily intended for businesses and adult business professionals. Some consumer privacy laws exclude or limit rights for personal data processed solely in an employment or commercial context.
2. Personal Data We Process
The personal data we process depends on how you interact with us, the Services you purchase, and the systems you choose to connect, and whether you use scheduling, portal, or electronic-signature features.

Technical and usage data IP address, device and browser information, operating system, timestamps, referral URLs, pages viewed, cookie identifiers, event data, and security logs. Operating and securing the Website; preventing abuse; diagnostics; analytics; improving usability and performance.
Portal, identity, and signature data Organization and signer name, title, authority attestation, account identifiers, email verification, authentication and MFA events, IP address, user agent, agreement or envelope IDs, document versions and hashes, consents, signatures, timestamps, audit events, and completion certificates. Scheduling; portal access; account security; electronic contracting; proving assent; preserving record integrity; fraud prevention; legal compliance and claims.
Client systems and operational data CRM records, workflow schemas, contact matrices, API payloads, webhook data, automation logs, system configurations, and test data. Building, testing, maintaining, and troubleshooting integrations and managed workflows.
Credentials and secrets Administrative credentials, API keys or tokens, MFA-related information, and identity-provider configuration made available through approved secure tools. Authorized system access; configuration; credential rotation; security and continuity of Services.
AI inputs and outputs Prompts, code, text, documents, structured data, generated drafts, model responses, and related metadata submitted through AI-enabled workflows. Document triage; drafting; summarization; coding and debugging; automation; requested AI-enabled functions.
Billing and transaction data Billing address, tax information, invoice records, subscription information, payment status, and transaction metadata. We do not receive full card numbers or card security codes from our payment processor. Billing; accounting; tax compliance; fraud prevention; contract administration.
Sensitive or regulated data. Unless a signed agreement expressly authorizes it, do not provide Social Security numbers, complete payment-card data, protected health information, biometric templates, government-identification images, data about children, or other specially regulated data through general Website forms, ordinary email, chat, or unsupported integrations.
3. Sources of Personal Data
• Directly from you or your organization, including through forms, consultations, contracts, support interactions, uploads, and connected accounts.
• Automatically from your browser, device, and use of the Website or Services, including through logs, cookies, and similar technologies.
• From business clients and systems they authorize us to access, including CRMs, project-management tools, identity providers, automation platforms, and cloud environments.
• From service providers and business partners, such as scheduling, payment, security, analytics, communications, and identity-management providers.
• From public and professional sources when reasonably necessary for business development, due diligence, security, or verifying business contact information.
4. How and Why We Use Personal Data
• Provide, configure, operate, maintain, support, and improve the Website and Services.
• Respond to inquiries, schedule consultations, prepare proposals, enter into and administer agreements, and manage client relationships.
• Operate scheduling, portal, onboarding, approval, and electronic-signature workflows; verify signer identity and authority; record consent and assent; preserve document integrity; and generate completion evidence.
• Authenticate users, manage authorized access, rotate credentials, monitor systems, and protect clients, users, and infrastructure against fraud, abuse, and security threats.
• Build, test, debug, and document integrations, automations, AI workflows, and operational processes.
• Process payments, subscriptions, recurring charges authorized by the customer, invoices, taxes, refunds, disputes, and fraud-prevention records through Stripe and related financial institutions.
• Communicate service notices, support updates, security information, and—where permitted—marketing communications.
• Comply with law, enforce agreements, protect legal rights, respond to lawful requests, and establish, exercise, or defend legal claims.
• Create aggregated or deidentified information that cannot reasonably be linked to an identifiable individual.
Where laws such as the GDPR or UK GDPR apply, our legal bases may include:
• Performance of a contract or steps requested before entering into a contract.
• Our legitimate interests, including providing and securing Services, preventing fraud, managing business relationships, improving operations, and protecting legal rights, balanced against affected individuals’ rights.
• Consent, including for non-essential cookies or marketing where consent is required. You may withdraw consent at any time without affecting prior lawful processing.
• Compliance with legal obligations and protection of vital interests where applicable.
5. Cookies, Analytics, and Privacy Signals
We use strictly necessary cookies and similar technologies to provide security, maintain sessions, remember privacy choices, and operate the Website and portal. Cloudflare provides infrastructure, security telemetry, and privacy-oriented web analytics. We also use Google Analytics 4 and Microsoft Clarity to understand Website performance, navigation, and user experience. Where consent is required, Google Analytics 4 and Microsoft Clarity remain disabled until the visitor opts in. Strictly necessary security, session, and consent-management technologies may operate without opt-in where permitted by law.
No sale for money. We do not sell personal data in exchange for money. We do not knowingly use personal data for cross-context behavioral advertising. To the extent a particular analytics or advertising activity is legally treated as a sale, sharing, or targeted advertising, you may opt out through our privacy controls or a legally recognized opt-out preference signal.
Global Privacy Control and similar signals. Where required by law, we honor valid browser-based opt-out preference signals, including Global Privacy Control, as a request to opt out of covered sale, sharing, or targeted advertising. Such signals generally apply to the browser or device sending the signal and may not apply across other browsers or devices unless associated with an authenticated account.
Cookie controls. You can change your browser settings or use the Website’s privacy controls to reject or delete non-essential cookies. Disabling some technologies may affect Website functionality. Where applicable, the Website will provide a way to confirm that an opt-out preference has been honored.
6. Scheduling, Portal Accounts, and Electronic Signatures
Scheduling. When you request or schedule a consultation, we may collect information through the Website, a proprietary EasyWork Ops client or scheduling portal, and/or an authorized third-party scheduling service. The information may include your name, organization, role, contact details, requested time, time zone, consultation purpose, and scheduling history.
Portal accounts and authentication. If you use an EasyWork Ops portal, we may process account identifiers, verified business email, organization and role information, authentication and multi-factor events, access permissions, session details, IP address, user agent, failed attempts, security events, and records of portal views, downloads, approvals, and changes.
Electronic signatures and audit evidence. When you review or sign a record electronically, we may process your legal name, title, organization, representation of authority, electronic-record consent, intent-to-sign confirmation, typed or drawn signature, timestamps, authentication method, agreement or envelope identifier, document name and version, cryptographic document hash, delivery and download events, completion status, and audit certificate. We use this information to attribute the signature, preserve record integrity, prevent fraud, administer and enforce agreements, and establish or defend legal rights.
Record access and separate consents. Executed records and completion evidence may be made available for download and may also be delivered by email or another agreed method. This Notice explains data handling; it does not replace any separate Electronic Records and Signatures Consent, recurring-payment authorization, or contract term presented during the transaction.
7. Client Data, Credentials, and Service Instructions
When a client provides access to systems or personal data, the client represents that it has authority to provide the access and instructions necessary for us to perform the Services. The client remains responsible for its own privacy notices, consents, legal bases, data-subject responses, and industry-specific obligations unless a signed agreement states otherwise.
Approved credential channels. Administrative credentials, API secrets, and similar access information must be transmitted only through an approved credential manager or other secure channel. Our personnel will not ask clients to send plain-text passwords through ordinary email, SMS, chat, or open documents. Authorized personnel may access credentials only to the extent necessary and permitted by the applicable role and agreement.
No unauthorized secondary use. We do not use client data for independent advertising, data brokerage, or unrelated product development. We may use client data only to provide, secure, support, and improve the contracted Services; comply with law; or as otherwise expressly authorized in writing.
Testing and minimization. Whenever reasonably practicable, clients should provide synthetic, masked, or minimally necessary data for testing. We may refuse or suspend processing that would expose unsupported regulated data or create an unreasonable security or legal risk.
8. How We Disclose Personal Data
We may disclose personal data only as reasonably necessary for the purposes described in this Notice, including to:
• Infrastructure, content-delivery, domain, network-security, monitoring, and privacy-oriented web-analytics services provided by Cloudflare.
• Credential-management and identity providers, including providers such as Bitwarden.
• Analytics and user-experience providers, including Google Analytics 4 and Microsoft Clarity, subject to applicable consent choices.
• CRM, communications, documentation, support, and scheduling providers, including HubSpot, GoHighLevel, Notion, and Calendly when enabled. Scheduling may instead occur through an EasyWork Ops portal.
• Workflow and integration providers, including Zapier, Make, and self-hosted or hosted n8n environments.
• AI platform and model providers, including MindStudio, Pickaxe, OpenAI, and Anthropic, subject to the applicable account configuration and contract.
• Stripe and participating financial institutions for payment processing, subscriptions, billing, tax, invoicing, refunds, disputes, fraud prevention, and related services. Stripe processes payment and transaction data under its own privacy notice and applicable agreements. EasyWork Ops does not store complete card numbers or card security codes.
• Professional advisers, insurers, auditors, lenders, and prospective or actual investors, purchasers, or successors, subject to appropriate confidentiality and use restrictions.
• Government authorities, courts, law enforcement, and other persons where disclosure is required or permitted by law or reasonably necessary to protect rights, safety, systems, or users.
• Other persons at your direction or with your consent.
Service-provider safeguards. We use contractual, technical, and organizational measures appropriate to the nature of the service and data. A provider may process data only as permitted by its agreement with us and applicable law. Providers may change as our operations evolve; material changes will be reflected in an updated Notice or subprocessor notice where contractually required.
9. Artificial Intelligence and Automated Processing
Business/API configurations. Where available, we use business or API offerings that are configured not to use client content to train general-purpose models. Provider retention, abuse-monitoring, and application-state practices vary by product, endpoint, configuration, and contract.
Zero Data Retention. We do not represent that a workflow has zero data retention unless that protection has been confirmed for the specific provider, account, endpoint, and project and is expressly stated in the applicable service order or data processing agreement.
Human oversight. We do not use automated decision-making on our own behalf to make decisions that produce legal or similarly significant effects on individuals. Any client-requested workflow involving employment, credit, insurance, housing, health, legal services, or another high-impact decision must be separately evaluated, documented, and approved before deployment. Clients remain responsible for final decisions and required human review.
Output limitations. AI-generated output may be inaccurate, incomplete, or unsuitable for a particular legal, financial, medical, security, or compliance purpose. Clients must review and validate outputs before relying on them or taking action.
10. International and Nearshore Processing
We and our service providers may process personal data in the United States, Costa Rica, other Latin American locations, and other countries where personnel or providers operate. These countries may have privacy laws that differ from those in your jurisdiction.
